Strategic Systems Consultants Limited (“SSC”,”us”,”we”,“our”), iATS apps (“App”) – Terms and Conditions
1. Use of these Terms
1.1. By downloading or using the App, these terms will automatically apply to you. You should make sure that you read them carefully before using the App. We are offering you this App to use under the licensed agreement with your company. You cannot send the App to anyone else, and you are not allowed to copy, or modify the App or any part of the app in any way. Your company administrator may sent the App to any personnel within your company for operation use.
1.2 These terms and conditions (‘Terms of Use’) set out the terms on which you may make use of the App (as defined below), your rights and obligations, and those of iATS product in relation to the app and its content. Use of the App includes use as guest or as user account registered by your company at Server and includes downloading, accessing, browsing, inputs of data and information and uploading.
2. Other Applicable Terms
These Terms of Use refer to the following additional terms, which also apply to your use of your company’s Server.
Our Privacy Policy, which sets out the terms on which App or Server processes any personal data that the App collects from you, or that you provide to your company Server.
3. Interpretation
The following definitions and rules of interpretation apply in these Terms of Use:
3.1. Content includes, but is not limited to, all text, graphics, images and audios that displayed or played through the App, the look and feel of the App itself and any other material published on the App.
3.2. Intellectual Property Rights means patents, utility models, rights to inventions, copyright and related rights, trademarks and service marks, business names and domain names, and the right to sue for passing off or unfair competition, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
4. Changes to these Terms of Use
4.1. We may change these Terms of Use at any time.
4.2. It is your responsibility to check these Terms of Use in case there are any changes. If you access and use the App after we have made a change to these Terms, you shall be treated as having accepted the change.
5. Intellectual Property
5.1. Our App and the Intellectual Property Rights in the Content on the App are owned by or licensed to SSC or any developer.
5.2. You may view, print, download or store temporarily extracts from the App for your own personal reference or for the purpose of contacting Us to access or use the products and services featured on the App. No other use (including, without limitation, the alteration, deletion, utilisation or extraction) of the Content and materials featured on the App is permitted without Our written permission.
5.3. You are not allowed to attempt to extract the source code of the app, and you also should not try to translate the app into other languages, or make derivative versions. The App itself, and all the trade marks, copyright, database rights and other intellectual property rights related to it, still belong to SSC.
6. Liability
6.1. You are responsible for ensuring that your instructions (including all the details we may require to carry out your instructions) and any information you give to Server through the App are accurate and complete.
6.2. Subject to clause 6.1, we shall not be liable for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
6.2.1. Use, or inability to use, the App; or
6.2.3. Use of, or reliance on any Content displayed on the App.
6.3. Please note that in particular, we will not be liable for:
6.3.1. Loss of profits, sales, business or revenue; 6.3.2. Business interruption; 6.3.3. Loss of anticipated savings; 6.3.4. Loss of business opportunity, goodwill or reputation; or 6.3.5. Any indirect or consequential
loss or damage. 7. Generally 7.1. Each of these conditions is
separate from all other conditions, so that if one condition is found to be
void or otherwise unenforceable it will not affect the validity of any of the
others. 7.2. If we do not enforce any of the rights we have under this Agreement, or if we delay in enforcing them, that does not prevent Us from taking any action to enforce Our rights in the future. 8. Applicable Law 8.1. For being an operation
personnel of your company with iATS licensed from SSC, please note that these
Terms of Use, its subject matter and its formation, are governed by the laws
of Hong Kong SAR. We both agree to the exclusive jurisdiction of the courts
of Hong Kong SAR. 8.2. For licensed company, these Terms of Use, its subject matter and its formation (and any non-contractual disputes or claims) are governed by the laws of Hong Kong SAR. We both agree to the exclusive jurisdiction of the courts of Hong Kong SAR. 9. Acceptable Use and Content Standards 9.1. You may use the App only for lawful purposes. You may not use the App: 9.1.1. In any way that breaches any applicable local, national or international law or regulation 9.1.2. In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect. 9.1.3. For the purpose of harming or attempting to harm minors in any way. 9.1.4. To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards in clause 9.3 and 9.4 below. 9.1.5. To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam). 9.1.6. To knowingly
transmit any data, send or upload any material that contains viruses, Trojan
horses, worms, time-bombs, keystroke loggers, spyware, adware or any other
harmful programs or similar computer code designed to adversely affect the
